Corporate filing and ownership: 10 T2 questions · Browse the 100-article collection

The direct answer

No. The corporation is a separate legal business from its incorporation date. You need to distinguish transactions belonging to the earlier sole proprietorship from those earned or incurred by the corporation, including any documented transfer of the business. Changing the name on a year-end spreadsheet does not settle ownership of prior transactions or the CRA accounts required.

Create a clear transition date

Explain when the corporation began operating and which transactions belong to the earlier sole proprietorship. Incorporation paperwork alone may not describe every transfer or ongoing contract. Keep invoices, receivables, assets and payments around the transition identifiable. The preparer needs to see the two legal taxpayers rather than one annual spreadsheet containing all activity without distinction.

Review transfers as separate transactions

Equipment, inventory or other property moved into the corporation may require additional tax consideration. Do not simply rename the old business account and assume the transfer is neutral. Provide the values, costs and agreements, and identify any amounts the corporation owes the owner. The transition review should happen before unsupported opening balances are carried into the first T2.

What to gather before the review

  • Incorporation and operating-start dates
  • Separate pre- and post-transition financial records
  • Asset, contract and shareholder transfer documents

Does incorporation move the whole year's income into the corporation?

Not automatically. Income and transactions must be assigned according to the actual legal and business facts. Keep the personal business period separate from the corporation's activity.

Your next step

Prepare a transition-date schedule of invoices, expenses, assets, receivables and liabilities.
