A private corporation may be able to pay a capital dividend to a Canadian-resident shareholder when it has a sufficient capital dividend account balance and makes the required election. Cash in the bank or a large accounting profit does not establish that balance.
Calculate the CDA immediately before the dividend
The capital dividend account is a tax calculation, affected by particular gains, losses, and other qualifying items. CRA requires an election on Form T2054, together with supporting documentation. The normal due date is when the dividend becomes payable or is first paid, whichever occurs earlier.
An excessive election can expose the corporation to substantial Part III tax. A capital-dividend payment to a non-resident has additional withholding considerations, so the shareholder's residency matters.
Avoid relying on an old balance
For example, a company realizes a gain and later incurs a capital loss before paying the dividend. An earlier CDA estimate may no longer be correct. Reconcile intervening transactions and prior elections before the resolution is finalized.
Gather the election package
- Current CDA calculation and supporting transaction records.
- Prior capital-dividend elections and assessments.
- Shareholder residency and share-entitlement information.
- Proposed resolution, payment date, and required attachments.
Have the election timing and amount checked before releasing funds. Keep proof of filing with the corporate records. If a payment or deadline was missed, investigate the applicable late-election or correction process immediately; do not assume a later T2 entry makes an unsupported tax-free payment valid.
