An eligible dividend needs more than a favourable label. The corporation must have the capacity to make the designation under the applicable rules and notify shareholders properly. A small private company cannot assume every dividend qualifies.
Check the corporate tax pools
For a Canadian-controlled private corporation, the general rate income pool, or GRIP, is central to eligible-dividend capacity. It generally reflects income that did not benefit from the small-business deduction or another special rate. Excessive designations can create additional tax.
CRA requires written notification of an eligible designation before or when the dividend is paid, subject to specific late-designation provisions. A year-end T5 does not replace all the corporate documentation needed at payment.

Decide before transferring cash
For example, an owner withdraws money and later asks to label it eligible because the personal tax appears lower. Review the company's GRIP, financial statements, and legal dividend requirements before choosing the treatment.
Prepare the dividend record
- Current and prior GRIP calculations.
- Corporate earnings, taxes, and previous dividend designations.
- Board resolution and shareholder notification.
- Payment dates, recipients, and T5 reporting details.
Ask your preparer to show the corporate and personal consequences together. Retain the supporting calculation with the corporate minute-book records. If an amount was already paid with the wrong designation, review the correction options promptly rather than changing only the recipient's personal return. The company and shareholder filings need to remain consistent.
