Some sales of qualified small business corporation shares can qualify for the capital gains deduction. A profitable corporation or a long ownership period alone does not establish eligibility. The shares, assets, and ownership history need to meet the relevant tests.

Review eligibility before a buyer appears

CRA's criteria include an at-sale test and tests covering the preceding 24 months. The use and value of corporate assets matter, including whether they support an active business carried on primarily in Canada. Excess investments or other non-business assets can affect the result.

The individual's available deduction also depends on prior claims and other calculations. Use the exemption limit and legislation applicable to the actual sale date rather than an undated headline amount.

Build a sale-readiness review

For example, a company may have accumulated substantial investment assets while operating a successful business. The owner should have the asset tests reviewed well before signing a sale agreement. Last-minute changes may not cure a historic test.

Gather the planning records

  • Share register and ownership changes.
  • Financial statements and asset values over the relevant period.
  • Business-use details for cash, investments, and other assets.
  • Prior capital-gains-deduction claims and personal tax history.

Ask your adviser to identify the tests satisfied, the ones needing further evidence, and any planning deadlines. Coordinate with legal counsel before reorganizing shares or assets. A buyer's willingness to purchase shares does not confirm the seller's exemption, and an asset sale by the corporation requires a different analysis.
