In a share sale, the owner sells shares of the corporation. In an asset sale, the corporation sells particular business assets. The taxpayer receiving the proceeds, the cost calculations, and the later extraction of cash can therefore be different.
Identify who is selling what
CRA notes that changing share ownership generally does not change the tax cost of assets inside the company. An asset sale instead requires allocating the price among items such as inventory, equipment, real property, and goodwill. Different income and depreciation consequences can follow.
A personal capital-gains deduction may be relevant to qualifying shares, but it is not automatically available because a corporation sells its operating assets. GST/HST also requires a separate review, including any applicable election for a business transfer.

Compare the net result, not the headline price
For example, two offers with the same total price can leave the owner with different after-tax cash. The review should include corporate tax, amounts available for distribution, personal tax, legal terms, and liabilities retained.
Prepare comparable deal information
- Draft offer showing whether shares or assets are sold.
- Purchase-price allocation and payment timing.
- Tax costs, CCA schedules, and corporate tax pools.
- Shareholder cost base and available personal deductions.
Ask the tax adviser and lawyer to compare the alternatives before the agreement becomes binding. Keep the negotiated allocation supportable and consistent between the documents and returns. Do not sign first on the assumption that the transaction can later be relabelled to obtain the preferred tax result.
