Yes. Acquiring shares through an employee option can create an employment benefit even if you keep the shares. Timing and available deductions depend on the plan, the employer, and the conditions of the option arrangement.
Separate the employment benefit from the investment
CRA explains that a benefit can arise when shares are acquired for less than fair market value or when option rights are disposed of. Some qualifying arrangements have special timing rules. A later share sale is a separate transaction requiring an investment gain or loss calculation.
An employment benefit and a subsequent capital loss do not simply cancel each other automatically. This is why exercising options without selling enough shares to fund tax can create a cash-flow problem.

Build a transaction timeline
For example, list the grant date, vesting date, exercise date, number of shares, exercise price, and market value at acquisition. Add the date and proceeds of any later sale. The timeline helps identify which tax event belongs to which year.
Keep the plan documents
- The option agreement and exercise confirmation.
- Employer statements explaining the taxable benefit.
- T4 information and any withholding arrangements.
- Brokerage records and the cost-base calculation for the shares.
Request a tax estimate before a large exercise or sale, particularly when the company is private or the plan involves another country. Ask whether a security-option deduction is available for that specific transaction. Do not treat a broker's cost figure as conclusive when employment benefits form part of the Canadian tax analysis.
